4. Orders and Payment
4.1 Order Acceptance
Your receipt of an electronic or other form of order confirmation does not signify our acceptance of your order, nor does it constitute confirmation of our offer to sell. We reserve the right at any time after receipt of your order to accept or decline your order for any reason.
4.2 Payment Terms
Payment must be received in full before orders are processed. We accept various payment methods as indicated on our website. You agree to pay all charges at the prices then in effect for your purchases and any applicable shipping fees.
4.3 Taxes
You are responsible for any applicable taxes, duties, or customs fees associated with your order, including GST for Singapore customers.
5. Shipping and Delivery
5.1 Shipping Policy
Delivery times are estimates only and are not guaranteed. We are not responsible for delays caused by shipping carriers, customs clearance, or other circumstances beyond our control.
5.2 Risk of Loss
All items purchased from us are made pursuant to a shipment contract. This means that the risk of loss and title for such items pass to you upon our delivery to the carrier.
5.3 International Shipping
International customers are responsible for ensuring that ordered items can be legally imported to their country. We are not responsible for items seized by customs or other regulatory authorities.
6. Returns and Refunds
6.1 Return Policy
Please refer to our detailed return policy on our website. Customized or personalized items are generally not returnable unless there is a manufacturing defect or error on our part.
6.2 Refund Processing
Refunds will be processed within 14 business days after we receive and inspect the returned items. Shipping costs are generally non-refundable.

All content, features, and functionality of our services, including but not limited to text, graphics, logos, images, and software, are the exclusive property of Giftly Singapore or its licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our services for personal and commercial purposes in accordance with these Terms of Service.
7.3 User Content
By submitting content (including logos, designs, or other materials) for customization, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and create derivative works for the purpose of fulfilling your order.
8. Disclaimer of Warranties
OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We make no warranty that our services will meet your requirements, be uninterrupted, timely, secure, or error-free. We do not guarantee the accuracy or reliability of any information obtained through our services, nor do we guarantee the quality of any products, services, information, or other material purchased or obtained through our services.
9. Limitation of Liability
IN NO EVENT SHALL GIFTLY SINGAPORE, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES.
Our total liability for any claim arising out of or relating to these terms or our services shall not exceed the amount paid by you to us in the six months preceding the event giving rise to the liability, or SGD $100, whichever is greater.
10. Indemnification
You agree to defend, indemnify, and hold harmless Giftly Singapore and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of: (a) your use and access of our services, by you or any person using your account and password; (b) a breach of these Terms, or (c) Content posted on our services.
11. Termination
We may terminate or suspend your account and bar access to our services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.
Upon termination, your right to use our services will immediately cease. If you wish to terminate your account, you may simply discontinue using our services.
12. Governing Law
These Terms shall be governed and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our services after any revisions become effective, you agree to be bound by the revised terms. 15. Entire Agreement
